Required Information for All Agreements

To ensure contractual obligations are clearly defined for both UC Merced and the external party so performance under the contract can occur smoothly and without disagreement, it is of the utmost importance that all relevant details and responsibilities of both parties are clearly defined in any agreement. Required information varies significantly based on the complexity and risk profile of each contract however there are minimum required elements which must be include for all agreements:

  • Start and end dates for the total contract.
  • Start and end dates for any specific components of the scope of work (if required).
  • Vendor contact information for both day to day business and contract/legal matters.
  • A detailed scope of work that clearly defines required deliverables, quality requirements, specific timelines, reporting requirements, who is authorized to accept or reject deliverables, and all other relevant details necessary to clearly define and if necessary manage and take corrective action associated with the project.
  • Detailed payment information that states the timeline or deliverables that payment will be made at and in what amounts.
  • If required, items to document compliance with state and UC laws and policies.
